General Terms and Conditions of Sale

Preamble

The online shop at Potelet.eu is operated by WISECOM GROUP SRL, which is responsible for managing this website. Any order for products available in the online shop, as well as use of its services, implies prior reading and acceptance of the general terms and conditions of sale set out below. The consumer acknowledges having been fully informed that their consent to these general terms and conditions does not require a handwritten signature, insofar as they wish to make online purchases of the products offered in the online shop.

Article 1: General Provisions

These general terms and conditions of sale apply to all contracts concluded between WISECOM GROUP SRL (Potelet®) and the buyer, whether professional or private individual, in the context of online sales within Europe, including outside the European Union.

Article 2: Purpose

These general terms and conditions of sale aim to define the contractual relationship between WISECOM GROUP SRL (Potelet®) and the buyer, as well as the conditions applicable to any purchase made on the e-commerce website of WISECOM GROUP SRL (Potelet®), whether the buyer is a professional or a private consumer. The purchase of a product or service via this website implies unconditional acceptance of these terms and conditions. They take precedence over all other general or specific terms and conditions that have not been expressly accepted by WISECOM GROUP SRL (Potelet®). These general terms and conditions may only be departed from by prior written agreement of WISECOM GROUP SRL (Potelet®), and only for the specific order for which such exception was granted. WISECOM GROUP SRL (Potelet®) reserves the right to modify its general terms and conditions of sale at any time. In such case, the terms and conditions in force at the time the buyer places an order shall apply. Trade customs applicable to the profession shall apply in cases not covered by these terms.

A professional buyer is any natural or legal person who acquires or uses goods sold by WISECOM GROUP SRL (Potelet®) for professional purposes.

A private buyer is a natural person who acquires and uses goods sold by WISECOM GROUP SRL (Potelet®) for private purposes.

Article 4: Product and Service Characteristics

The products and services offered are those listed in the catalogue published on the seller's website. Photographs in the catalogue aim to represent products as faithfully as possible but do not guarantee a perfect resemblance to the product offered. These products and services are available subject to stock availability. If, despite all our efforts, certain items are unavailable, the seller will immediately inform the buyer by email and offer them the choice between waiting until the items are available or cancelling the unavailable items without charge. Available items will be delivered in accordance with our standard delivery option.

Colours, textures and quality control: Products shown on our website and in our commercial brochures are designed and printed by professionals. However, on-screen and brochure representations may not perfectly reflect the actual colours or textures of products. Colour and texture perception may also vary between customers depending on their screen calibration. Slight differences may exist between online visualisations and delivered products. Each print job is subject to individual quality control. For vector files supplied by the customer, our verification is limited to resolution and file format. All other aspects - such as missing fonts, spelling errors or incorrect file preparation procedures - are the customer's sole responsibility. Tolerances resulting from file quality, normal printing industry tolerances, and non-compliance with our technical recommendations cannot give rise to claims. Weights indicated on our website are given for guidance only and are not subject to dispute.

Article 5: Prices

Prices shown on our website are in euros and exclude VAT or other applicable taxes. The seller reserves the right to modify prices at any time; however, the prices applicable to an order are those in force at the time of order confirmation.

VAT in Belgium: For sales in Belgium, VAT at 21% applies by default, unless exemption documents are provided.

VAT for non-taxable buyers: Buyers not subject to VAT will be charged the VAT of the country where they reside or operate.

Intra-EU tax exemption: EU member states may benefit from tax exemption if the rules on intra-community transactions, in accordance with Directive 2006/112/EC, Article 138, are complied with.

Exports outside the EU: For goods exported to countries outside the European Union, we comply with the provisions of Directive 2006/112/EC, Article 146. To benefit from this exemption, the professional must provide us with proof of their company's constitution as required by the local tax authorities of the destination country. Customs formalities and local taxes may also apply in the destination country, and it is the buyer's responsibility to comply with all applicable local laws and regulations.

Article 6: Geographic Zones

Online sales of products and services presented on the seller's website are reserved for buyers residing in Europe, for deliveries required in these geographic areas. For orders and/or deliveries to countries outside the European Union, please contact our customer service.

Article 7: Orders

To purchase a product or service, the buyer must follow these mandatory steps: complete the identification form providing all required information; complete the online order form indicating the references of selected products or services; validate the order after checking it; accept these general terms and conditions of sale by ticking the appropriate box; make payment; confirm the order and payment.

Registering on the site is not mandatory to place an order. It is however recommended as it allows access to the order tracking area. The seller reserves the right to cancel or refuse any order from a buyer with whom there is a dispute regarding payment of a previous order. Any order constitutes acceptance of the prices and descriptions of the products available for sale.

Article 8: Validation of Orders

Online offers are valid while stocks last. Contractual information will be confirmed by email to the address provided by the buyer during registration or at the time of order. The seller reserves the right to cancel any order for legitimate reasons. The information provided by the buyer when placing an order is binding. If the buyer provides inaccurate information, the seller shall not be held liable for any failure to deliver the ordered products. In case of non-payment, incorrect address, or any other problem on the buyer's account, the seller reserves the right to block the buyer's order until the problem is resolved. If the buyer is a consumer, they have a legal right of withdrawal of 14 days from receipt of the goods, under the applicable consumer protection legislation.

Article 9: Delivery

Products are delivered to the address indicated by the buyer when placing the order. The buyer must ensure that this address is correct. The seller cannot be held responsible for any non-delivery due to an error in the address provided. In the event of loss of a parcel by the carrier, the seller will open an inquiry with the carrier, which may take several weeks. During this period, no refund or re-shipment will be issued. Products are shipped within the timeframes indicated on the product pages, which may vary depending on stock availability and any personalisation required. In the event of a delivery delay, the buyer will be informed by email as soon as possible. Any delivery delay does not entitle the buyer to cancellation of the order or to compensation.

Upon delivery: The buyer must check the contents of parcels in the presence of the carrier and note any reservations on the delivery note specifying damaged or missing items. The mention "subject to reservations" alone is insufficient. Claims for damage must include specific, detailed reservations. If the carrier refuses to wait for a full inspection, the buyer should note: "inspection impossible as driver refused to wait". Without appropriate reservations on the delivery note, the seller cannot be held liable for any damage occurring during transport.

Article 10: Right of Withdrawal (Consumer Buyers)

In accordance with applicable law, private consumer buyers have a right of withdrawal of 14 calendar days from receipt of the goods, without needing to state reasons. This right does not apply to: products manufactured according to the consumer's specifications or clearly personalised; sealed goods that cannot be returned for hygiene reasons once opened.

To exercise this right, the buyer must notify the seller in writing (email or letter) before the 14-day period expires. The buyer is responsible for return shipping costs. Products must be returned in their original condition and packaging. Refunds will be issued within 14 days of receiving the returned product.

Article 11: Warranties

All products benefit from the legal warranty against hidden defects as provided by applicable law. In addition, Potelet® products benefit from a lifetime warranty on the belt-reel mechanism, and a 5-year warranty on the tube and finish (subject to normal use). Custom printing benefits from a 2-year warranty on adhesion.

These warranties do not cover: damage resulting from accident, misuse, normal wear, negligence, unauthorised modification, or any cause external to the product. The seller's liability is limited to the replacement or repair of the defective product.

Article 12: Liability

Products offered for sale comply with the legislation in force in Belgium and the European Union. The seller cannot be held liable for non-compliance with legislation of the country where the product is delivered. It is the buyer's responsibility to verify with local authorities the possibilities of importing or using the products or services they intend to order. The seller shall not be held liable in cases of force majeure, disruptions or partial or total strikes of postal services, transport, communications, or flooding or fire.

Article 13: Personal Data

The seller undertakes to preserve the confidentiality of information provided by buyers. Any information relating to the buyer is subject to the provisions of the applicable personal data protection law, including the European General Data Protection Regulation (GDPR). The buyer has the right to access, correct, and delete personal data concerning them via the customer account or by contacting the seller. Article 14: Intellectual Property

All elements of this website - texts, photographs, logos, images - are protected by intellectual property law. Any reproduction, even partial, of the content of this site without authorisation is strictly prohibited and may be prosecuted.

Article 15: Applicable Law and Jurisdiction

These general terms and conditions of sale are governed by Belgian law. In the event of a dispute, the courts of the judicial district of Liège (Belgium) shall have exclusive jurisdiction, unless mandatory consumer protection provisions applicable in the buyer's country of residence provide otherwise.
